Terms of Service

1. Agreement

These Terms form a binding agreement between you and LIST IQ, trading as ListIQ Pro. By creating an account or using the service, you accept them. If you are accepting on behalf of a company, you confirm you have authority to bind that company.

Because purchases are processed by our merchant of record, the Paddle buyer terms also apply to the purchase transaction itself.

2. What the service does

ListIQ Pro generates marketplace product listings from inputs you provide, including titles, descriptions, bullet points, keywords, product details and, where a marketplace requires them, tax codes. It can also generate product images and product video.

ListIQ Pro does not publish listings to any marketplace on your behalf. The service produces content which you copy into the marketplace’s own listing interface. Any statement about direct publishing refers to functionality under development and not yet available.

3. Accounts

• You must provide accurate registration information and keep it current.
• You are responsible for all activity under your account and for keeping your credentials confidential.
• You must be at least 18 years old and legally able to enter into a contract.
• Accounts on plans that include a fixed number of seats may not be shared beyond that number.

4. Subscriptions, credits and billing

Paddle.com Market Ltd acts as merchant of record and is the seller of record for every purchase. It collects payment, calculates and remits applicable sales tax, VAT and GST, and issues your invoice.

Credits

• Generating a listing consumes 1 credit. Generating a product image consumes 2 credits per image.
• Monthly plan credits reset at the start of each billing month and do not roll over. Pay-as-you-go top-up credits are held separately and do carry forward until used.
• AI Product Video Studio uses a separate video credit balance, purchased in its own packs. Monthly plan credits do not cover video generation.
• Credits have no cash value, cannot be exchanged for money, and are not transferable between accounts.
• A generation that fails for technical reasons on our side will not consume credits, or the credits will be restored.

Renewal and cancellation

• Subscriptions renew automatically at the end of each billing period until cancelled.
• You may cancel at any time. Cancellation takes effect at the end of the period you have already paid for, and you retain access until then.
• We may change prices on notice. Changes apply from your next billing period, never retroactively.

EU / UK right of withdrawal

Consumers in the EU and UK have a statutory 14-day right of withdrawal from a distance contract. We honour it. That right can lawfully be waived for digital content supplied immediately, but only where the buyer expressly consents to immediate supply and acknowledges losing the right — an affirmation our checkout does not presently collect. Until it does, the right applies in full.

Outside the EU and UK, all fees are non-refundable except where local mandatory law requires otherwise, or in cases of duplicate billing error.

Refunds are otherwise governed by our Refund Policy.

5. Your content

You retain all rights in the product photographs, descriptions and other material you upload (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, process and transmit Your Content solely to operate the service and generate output for you. That licence ends when you delete the content or close your account, subject to backup retention periods.

You represent that you own or are licensed to use Your Content.

6. Generated output

As between you and us, you own the output the service generates from your inputs, and you may use it commercially, including in marketplace listings and advertising.

Three limits on that, which matter in practice:

• Output is not guaranteed to be unique. Generative systems can produce similar output for similar inputs, including for other customers. We do not warrant that your output is original or that no one else will receive something comparable.
• Output may be inaccurate. Generated claims, specifications, measurements, tax codes and category assignments must be reviewed before you publish them. You are responsible for the accuracy of what you list.
• Marketplace compliance is yours.Marketplace policies change frequently and vary by category and region. We format output against published guidance, but we do not warrant that any listing will be accepted, will not be suppressed, or complies with any marketplace’s current rules.

Generation is performed using third-party AI models from Google Vertex AI (Gemini), Microsoft Azure OpenAI Service, NVIDIA NIM, Google Vertex AI (Imagen and Veo), Google Cloud Storage (generated media). Your rights in the output are subject to those providers’ terms, which we cannot grant beyond.

7. Acceptable use

You must not use the service to:

• Generate content that is unlawful, deceptive, defamatory, or infringes another party’s intellectual property.
• Create listings for counterfeit goods, or misrepresent a product’s origin, brand, safety certification or condition.
• Generate false claims about health, safety, efficacy or regulatory approval.
• Upload images of people without the rights required to do so, or generate imagery depicting a real individual without their consent.
• Reverse engineer, scrape, or resell the service or its output as a competing generation service.
• Circumvent credit limits or share a single-seat account across multiple users.

We may suspend or terminate accounts that breach this section, and may do so without notice where the breach is serious.

8. Availability

We aim to keep the service available but do not guarantee uninterrupted access. We may modify, suspend or discontinue features. Where a change materially reduces what a paid plan provides, we will give reasonable notice.

9. Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that use of the service will increase your sales, improve your search ranking, or that any generated listing will perform in any particular way.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. If you deal as a consumer, you keep all statutory rights available to you.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, data, or business opportunity.

Our total aggregate liability arising out of or relating to these Terms is capped at the total amount you paid ListIQ Pro in the one month preceding the claim, or US$100, whichever is lower.

Nothing in this section limits liability that cannot lawfully be limited. Where consumer protection law in your country gives you rights that this cap would otherwise restrict, those rights apply and this cap does not.

11. Indemnity

You agree to indemnify us against claims, losses and reasonable legal costs arising from Your Content, from listings you publish using output from the service, or from your breach of these Terms or of applicable law.

12. Termination

You may close your account at any time. We may suspend or terminate your account for material breach of these Terms, for non-payment, or where required by law. On termination your right to use the service ends immediately; sections which by their nature should survive will survive.

13. Governing law

These Terms are governed by the laws of India, and the courts at Chandigarh, India have exclusive jurisdiction, save that consumers may bring proceedings in the courts of their country of residence where local law gives them that right.

14. Changes

We may update these Terms. Material changes will be notified at least 30 days before taking effect. Continuing to use the service after that date constitutes acceptance.
